WSE Limited – Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of our premium services, encompassing home automation and workplace technology integration (“Services”). By engaging with WSE Limited and utilizing our Services, you expressly agree to adhere to these Terms.

1. Scope of Services

WSE Limited specializes in delivering cutting-edge system integration Services, focusing on home automation and workplace technology integration. Our comprehensive suite of Services spans consultation, design, installation, ongoing maintenance, and remote access management to fulfill the unique requirements of our esteemed clients

2. Service Agreement

Upon engaging with WSE Limited, clients are required to execute a detailed Service Agreement, outlining the precise scope of work, project timelines, deliverables, and payment terms. This Service Agreement forms the cornerstone of our contractual relationship and must be executed by both parties prior to any work commencing

3. Client Obligations

Clients must provide WSE Limited with accurate and comprehensive information regarding their requirements, preferences, and any existing infrastructure relevant to the Services. Inaccurate or incomplete information may cause delays or discrepancies in project delivery.

4. Ownership of Equipment

4.1 Conditional Ownership:

Ownership of any equipment, devices, or components installed as part of the Services will remain with WSE Limited until full payment has been received in accordance with the Service Agreement. Only upon receipt of full payment does ownership of equipment transfer to the client.

4.2 Repossession Rights:

In the event of nonpayment or default, WSE Limited reserves the right to reclaim any equipment not fully paid for, in accordance with applicable laws, without further notice to the client. Any costs associated with repossession will be borne by the client.

5. Remote Access Management

5.1 Authorization and Purpose:

WSE Limited may establish remote access to installed devices and systems for maintenance, support, configuration, and troubleshooting purposes. By utilizing our Services, the client acknowledges and consents to remote access by WSE Limited, as specified in the Service Agreement.

5.2 Conditions of Access:

Remote access will be strictly limited to authorized personnel and only for the purposes stated above. WSE Limited will only initiate remote access upon client request, scheduled maintenance, or as necessary to fulfill contractual obligations.

5.3 Security and Privacy:

All remote connections are managed with advanced security protocols to protect client data and privacy. WSE Limited will not monitor or access client data unrelated to the Service’s functioning or maintenance.

5.4 Suspension of Access:

WSE Limited reserves the right to disable or restrict remote access in instances of non-payment, termination of the Service Agreement, or misuse of the Services by the client.

6. Payment Terms

The payment terms outlined in the Service Agreement must be strictly adhered to. In the event of nonpayment or default, WSE Limited reserves the right to suspend or terminate Services, including remote access, immediately.

7. Intellectual Property

All intellectual property rights associated with the Services, including but not limited to designs, software, and documentation, remain the exclusive property of WSE Limited, unless otherwise agreed in writing.

8. Confidentiality

WSE Limited and the client commit to maintaining the confidentiality of all proprietary information exchanged during the engagement. This includes trade secrets, business strategies, and project details, which shall not be disclosed to any unauthorized parties.

9. Limitation of Liability

WSE Limited assumes no liability for any direct, indirect, incidental, or consequential damages arising from the use or inability to use our Services, including, but not limited to, loss of data, profits, or business interruption.

10. Termination

Either party may terminate the Service Agreement with written notice in the event of a material breach by the other party. WSE Limited reserves the right to terminate Services immediately in cases of non-payment or client misconduct. Upon termination, remote access services will be disabled, and any client data held for remote support will be deleted in accordance with our Data Retention policy.

11. Governing Law and Jurisdiction

These Terms and the Service Agreement shall be governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos, Nigeria.

12. Amendments

WSE Limited reserves the right to amend these Terms at its discretion and without prior notice. Clients will be notified of any changes, and continued use of our Services constitutes acceptance of the revised Terms.
